Service: The UIRIX AI platform and related websites, applications, dashboards, APIs, and services (collectively, the “Service”).
1. Acceptance of Terms
By accessing or using the Service, creating an account, or clicking “I agree” (or similar), you (“you”, “Customer”, “User”) acknowledge that you have read, understood, and agree to be bound by these Terms of Service (the “Terms”). If you use the Service on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and “you” will refer to that entity.
2. The Service
UIRIX provides a platform that enables users to configure, deploy, and manage AI-based voice and chat agents, including related features such as knowledge uploads, website scanning, integrations, analytics, and operational tooling. We may modify, replace, or discontinue any part of the Service at any time, subject to applicable law.
3. Account Registration and Security
3.1 Account Information. You agree to provide accurate and complete information when registering and to keep such information up to date.
3.2 Credentials. You are responsible for safeguarding credentials and for all activities occurring under your account.
3.3 Unauthorized Use. You must promptly notify us at [email protected]
of any suspected unauthorized access or use of your account.
3.4 Suspension. We may suspend or restrict access to the Service if we reasonably believe there is a security risk, unauthorized access, misuse, or a violation of these Terms.
4. Acceptable Use
4.1 Compliance. You will use the Service only in compliance with these Terms and all applicable laws and regulations.
4.2 Prohibited Conduct. You will not, and will not permit any third party to:
use the Service for unlawful, deceptive, fraudulent, defamatory, harassing, or abusive purposes;
infringe, misappropriate, or otherwise violate any intellectual property, privacy, or other rights of any person;
upload, transmit, or process content you do not have the right or authorization to use;
interfere with or disrupt the integrity or performance of the Service;
attempt to gain unauthorized access to systems or networks;
reverse engineer, decompile, or disassemble any portion of the Service, except to the extent such restriction is prohibited by law;
bypass or circumvent any access, usage, or security restrictions.
5. Customer Content; Responsibility
5.1 Customer Content. You may submit, upload, transmit, or otherwise make available to the Service data and content, including files, documents, text, URLs for scanning, call/chat records, logs, recordings, transcripts, configurations, and other materials (“Customer Content”).
5.2 Rights and Permissions. You represent and warrant that you have all rights, licenses, consents, and permissions necessary to provide Customer Content to the Service and to grant the licenses set forth in these Terms.
5.3 Responsibility. You are solely responsible for (a) Customer Content, (b) the legality of collecting and processing any personal data through the Service, and (c) any outputs, decisions, or actions you take based on use of the Service.
6. AI Outputs; No Reliance
6.1 Outputs. The Service may generate outputs, responses, summaries, recommendations, or actions using AI models (“Outputs”).
6.2 Limitations. Outputs may be inaccurate, incomplete, misleading, or not current. You are responsible for evaluating Outputs for accuracy and suitability before relying on them.
6.3 No Professional Advice. The Service and Outputs do not constitute legal, medical, financial, or other professional advice.
7. Fees, Subscriptions, Cancellations, and No Refunds
7.1 Subscription. The Service is offered on a monthly subscription basis unless otherwise specified at purchase.
7.2 No Refund Policy. All fees are non-refundable.
7.3 First Month Non-Refundable. Without limiting Section 7.2, the first month’s subscription fee is non-refundable, even if you cancel during the first billing month.
7.4 Cancellation. You may cancel your subscription at any time through your account settings or by contacting us. Unless otherwise stated at checkout or in the Service, cancellation will take effect at the end of the then-current paid monthly billing period.
7.5 Failed Payments. If payment cannot be processed, we may suspend or terminate access to the Service until payment is received, and we may continue to attempt to process payment as permitted by applicable law.
8. Data Retention and Deletion
8.1 Retention. All data stored in the Service is retained for twelve (12) months from the date such data is created, uploaded, received, or last updated (as applicable).
8.2 Automatic Deletion. After the retention period, such data will be automatically deleted.
8.3 Backups. Residual copies may persist in backups for a limited period as part of routine backup and disaster recovery processes, and will be overwritten or deleted in accordance with normal cycles.
8.4 Legal Requirements. We may retain certain information for longer where required by applicable law, court order, or to establish, exercise, or defend legal claims.
9. Third-Party Services and Integrations
9.1 The Service may enable integrations or interoperability with third-party products and services. Your use of third-party services is governed solely by their terms and policies.
9.2 UIRIX is not responsible for third-party services, including their availability, security, functionality, or content.
10. Intellectual Property
10.1 UIRIX IP. The Service, including all software, designs, interfaces, know-how, and proprietary technology, is owned by UIRIX and/or its licensors and is protected by applicable intellectual property laws.
10.2 License to You. Subject to your compliance with these Terms and payment of applicable fees, UIRIX grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the subscription term for your internal business purposes.
10.3 License to UIRIX. You grant UIRIX a worldwide, non-exclusive, royalty-free license to host, use, process, transmit, display, and otherwise exploit Customer Content solely to provide, secure, support, and operate the Service, and to enforce these Terms.
11. Confidentiality
Each party may receive the other party’s non-public information. The receiving party will use such information only to perform under these Terms and will protect it using reasonable measures. Confidentiality obligations do not apply to information that is publicly available without breach, independently developed, rightfully received from a third party without restriction, or required to be disclosed by law (subject to notice where legally permitted).
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
13.1 IN NO EVENT WILL UIRIX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.2 UIRIX’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES PAID BY YOU TO UIRIX FOR THE SERVICE IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
You will defend, indemnify, and hold harmless UIRIX and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Customer Content; (b) your use of the Service in violation of these Terms or applicable law; or (c) your infringement or misappropriation of any rights of a third party.
15. Term and Termination
15.1 Term. These Terms remain in effect while you access or use the Service.
15.2 Termination by You. You may terminate by cancelling your subscription as described in Section 7.4.
15.3 Termination/Suspension by UIRIX. We may suspend or terminate your access immediately if you breach these Terms, if continued access poses a security risk, or if required by law.
15.4 Effect of Termination. Upon termination, your license to use the Service ends. Data retention and deletion will occur in accordance with Section 8.
16. Changes to the Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the updated Terms.
17. Governing Law; Jurisdiction
These Terms are governed by the laws of the State of Israel, without regard to conflict of laws principles. The courts located in Tel Aviv, Israel will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each party irrevocably submits to such jurisdiction and venue.
18. Miscellaneous
18.1 Entire Agreement. These Terms constitute the entire agreement between you and UIRIX regarding the Service and supersede all prior or contemporaneous agreements on the subject matter.
18.2 Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
18.3 Waiver. Any waiver must be in writing. Failure to enforce any provision is not a waiver.
18.4 Assignment. You may not assign these Terms without UIRIX’s prior written consent. UIRIX may assign these Terms in connection with a merger, acquisition, or sale of assets.
18.5 Force Majeure. UIRIX will not be liable for delays or failures due to events beyond its reasonable control.
